Governance

Board of Directors

The Board, consisting of 9 Directors, operates under Governance principles, which means that MCHS has an effective controlled environment in which business risks are properly identified and managed. This in turn gives a clear operational framework through which the organisation will achieve its stated goals.  Recognizing that the governance role is focused on the formulation and monitoring of policies, the Board appoints and delegates all operational responsibilities to the Chief Executive Officer, whose main responsibility for implementing these is through the establishment of appropriate programs and services.

 

Sub Committees

All sub committees are formal committees of the Board and were established in accordance with Section 65S of the Health Services Act 1988.


Finance and Risk Audit Committee

The purpose of the Financial & Risk Management and Audit Board Sub Committee is to assist MCHS and its Board by providing assurance in the key areas of financial strategies, priorities and policies, financial performance (including viability and sustainability), the effective use of resources and assets, statutory accounts, internal control, legislative compliance and oversight of the activities of risk management, internal and external audit.

 

Community and Member Engagement Sub Committee - the Committee meets quarterly

and report to the Board by February each year on the Committee's planned program of activities and review the previous year activities;

  • Advise the Board on the options for increasing membership;
  • Provide advice to the Board on processes for community consultation and engagement including the Service's community consultation plan;
  • Review and make recommendation to the Board on potential improvements on the Service's policies and processes for reviewing client and community feedback
  • Review and make recommendations to the Board targeting the content of the Board's report to the community's section of the annual report each year which outlines services provided, service use, areas where community needs for services cannot be met together and discusses barriers being experienced by the Service to meeting those needs.

 

Research Development and Evaluation Board Sub Committee – the Committee meets quarterly

  • Identify and prioritize research development and evaluation in line with the strategic planning process and highlight key priority areas annually;
  • Guide and assist research development and evaluation across MCHS;
  • Promote collaboration in research activity in the MCHS Region;
  • Identify sources of funding for Research Development and Evaluation.

 

Membership

Become a Member of MCHS

A person wishing to be admitted as a Member must make an application for membership in the form approved by the Board of Directors and lodge it with the Executive Manager. A Member must promptly notify the Company of any change in the details with respect to that Member which are recorded in the register of Members.

Annual General Meeting

Annual General Meetings are held yearly, generally within 5 months of the end of the financial year.   Notice of the time and date of the Annual General Meeting is published in accordance with the MCHS Constitution.
